1. Acceptance of Terms

By accessing, browsing, or using the Northern Lights Alaska (NLAK) website, mobile application, or any services provided by NLAK (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms") and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing the Service and must immediately discontinue all use.

These Terms constitute a legally binding agreement between you and NLAK. Your use of the Service constitutes acceptance of these Terms and any modifications thereto. NLAK reserves the right to modify these Terms at any time without prior notice, and your continued use of the Service after such modifications constitutes acceptance of the modified Terms.

2. Intellectual Property Rights

Ownership: All content, features, functionality, design, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and other materials on the Service (collectively, "Content") are the exclusive property of NLAK or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License: NLAK grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial purposes only. This license does not include:

• Any resale or commercial use of the Service or Content
• Any collection or use of product listings, descriptions, or prices
• Any derivative use of the Service or Content
• Any use of data mining, robots, or similar data gathering and extraction tools
• Any reproduction, copying, modification, distribution, or display of Content without express written permission
• Any use of framing techniques to enclose any trademark, logo, or other proprietary information
• Any use of meta tags or other "hidden text" utilizing NLAK's name or trademarks

Prohibited Uses: You may not copy, reproduce, republish, upload, post, transmit, distribute, modify, create derivative works from, sell, or exploit in any way any Content without the express prior written consent of NLAK. Unauthorized use of Content may violate copyright, trademark, and other laws and may result in civil and criminal penalties.

3. Prohibited Activities

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law
• Violate or encourage others to violate any right of a third party, including by infringing or misappropriating any third-party intellectual property right
• Post, upload, or distribute any content that is libelous, defamatory, obscene, pornographic, abusive, or that contains any viruses, Trojan horses, worms, or other harmful code
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks
• Use any robot, spider, scraper, or other automated means to access the Service for any purpose without NLAK's express written permission
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
• Modify, adapt, translate, or create derivative works based upon the Service
• Remove any copyright, trademark, or other proprietary notices from the Service
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with any person or entity
• Harvest or collect email addresses or other contact information of other users from the Service
• Use the Service to transmit any unsolicited commercial email or "spam"
• Use the Service in any manner that could damage, disable, overburden, or impair NLAK's servers or networks
• Use the Service to compete with NLAK or to develop competing products or services

4. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

NLAK, its affiliates, licensors, and service providers do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service or the server that makes it available are free of viruses or other harmful components
• The results that may be obtained from use of the Service will be accurate or reliable
• The quality of any products, services, information, or other material obtained through the Service will meet your expectations

NLAK makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any information, data, forecasts, or predictions provided through the Service. Space weather forecasting is inherently uncertain, and actual conditions may differ significantly from forecasts or predictions.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NLAK, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

This limitation applies regardless of whether the damages arise out of breach of contract, tort, or any other theory of liability, even if NLAK has been advised of the possibility of such damages and even if a remedy set forth herein is found to have failed of its essential purpose.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NLAK'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES SHALL NOT EXCEED THE AMOUNT YOU PAID TO NLAK IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. However, in such jurisdictions, NLAK's liability will be limited to the maximum extent permitted by law.

6. Indemnification

You agree to defend, indemnify, and hold harmless NLAK, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service, including but not limited to any use of Content other than as expressly authorized in these Terms
• Your violation of any law or the rights of a third party
• Any content you submit, post, or transmit through the Service
• Your reliance on any information, data, forecasts, or predictions provided through the Service
• Any decisions made or actions taken based on information obtained from the Service

7. Third-Party Content and Links

The Service may contain links to third-party websites, services, or resources. NLAK is not responsible for the availability, accuracy, content, policies, or practices of such third-party sites or resources. Links to third-party sites do not imply endorsement by NLAK.

NLAK displays space weather data provided by the NOAA Space Weather Prediction Center and other third-party sources. NLAK does not create, modify, or control this data and is not responsible for its accuracy, completeness, timeliness, or reliability. You acknowledge that space weather forecasting is inherently uncertain and that actual conditions may differ significantly from forecasts or predictions.

Your interactions with third parties found on or through the Service are solely between you and such third parties. NLAK shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such third parties on the Service.

8. Termination

NLAK reserves the right, in its sole discretion, to terminate or suspend your access to all or part of the Service, with or without notice, for any reason, including, without limitation, breach of these Terms. Upon termination, your right to use the Service will immediately cease.

NLAK may also terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination of your access, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Force Majeure

NLAK shall not be liable for any failure or delay in performance under these Terms which is due to earthquake, fire, flood, act of God, act of war, terrorism, epidemic, pandemic, embargo, government action, change in laws or regulations, labor dispute, civil commotion, breakdown of communication facilities, breakdown of web server, database server or cloud hosting, or any other cause which is beyond NLAK's reasonable control.

10. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

11. Entire Agreement

These Terms, together with NLAK's Privacy Policy, Cookie Policy, Disclaimer, Acceptable Use Policy, and DMCA Policy, constitute the entire agreement between you and NLAK regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Alaska, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Anchorage, Alaska, United States, for any disputes arising out of or relating to these Terms or the Service.

You waive any objection to the venue of any such suit, action, or proceeding, and you agree not to commence any such suit, action, or proceeding except in the courts located in Anchorage, Alaska, United States.

13. Waiver

No waiver by NLAK of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of NLAK to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without NLAK's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. NLAK may freely assign or transfer these Terms without restriction.
